Abstract

In light of the rapid digital transformation witnessed by the Saudi judicial sector, the "digital promissory note" has emerged as a vital enforcement tool. However, this transformation has created a research gap, namely the inadequacy of the traditional legislative framework, designed for a paper-based environment, to accommodate its evolving nature and safeguards. The research problem lies in this existing gap between the technical reality of the digital note and traditional sharian texts, which threatens sharian certainty and hinders the efficiency of commercial transactions. The importance of this study lies in the need for legislation to keep pace with these developments to foster a secure digital investment environment, in line with the Kingdom's Vision 2030. Accordingly, the research aimed primarily to analyze the sharian and practical dimensions of this transformation, ultimately leading to the development of a comprehensive legislative framework. The central question revolved around: To what extent is the current regulatory framework sufficient to accommodate digital promissory notes, and what legislative requirements are necessary to ensure their effectiveness and security? To achieve this, the research adopted a descriptive-analytical approach, analyzing relevant sharian texts such as the Commercial Papers and Enforcement Laws, and observing practical applications across approved digital platforms. The research concluded that while digital promissory notes possess full enforceability, the current legislative framework is inadequate to regulate their newly introduced aspects, particularly the electronic endorsement mechanism. The study also demonstrated that the concept of "automatic enforcement" represents an innovative and essential solution to keep pace with the rapid growth of commerce. Therefore, the research recommends the issuance of a separate law for digital commercial papers and the establishment of a unified national registry to ensure reliability, along with the creation of specialized digital enforcement departments to guarantee swift and efficient justice. The research also emphasizes the need for legislation to keep pace with these developments.
