Abstract

This study investigates the legal responsibilities of holding companies toward their subsidiaries within the context of mergers and acquisitions, focusing, specifically on the Saudi legal framework. It highlights the multiple dimensions of liability, including contractual liability arising from breaches of agreements and obligations, tort liability resulting from harm inflicted on subsidiaries or third parties, and financial and administrative liability caused by decisions that impact the subsidiaries’ fiscal and managerial positions. The research demonstrates that the degree of a holding company’s involvement in mergers and acquisitions directly influences the extent of its legal accountability, with more active participation in strategic and financial decisions increasing the potential for liability. Furthermore, the findings underscore that precise disclosure of financial and administrative activities, alongside strict adherence to established legal procedures during mergers and acquisitions, mitigate legal risks and safeguard the rights of stockholders. The study concludes with practical recommendations to ensure that holding companies comply with their legal obligations during such operations, including the preparation and thorough review of financial and administrative reports by competent authorities to protect the interests of subsidiaries, shareholders, and creditors.
