Abstract
The statutory introduction of the Simplified Joint Stock Company (SJSC) within the Saudi Companies Law of 1443 H constitutes a fundamental legislative paradigm shift aimed at fortifying the entrepreneurship ecosystem. This dissertation addresses the research lacuna concerning the efficacy of this nascent legal entity in meeting the complex financing exigencies of entrepreneurial ventures. The research problem lies in the inadequacy of traditional legal entities to accommodate Venture Capital mechanisms, highlighting the study's significance in analyzing the new regulatory framework and its alignment with Saudi Vision 2030 objectives. The primary objective is to evaluate the legal efficacy of the SJSC as a financing instrument, addressing the pivotal question: To what extent has the Saudi regulator succeeded in mitigating regulatory restrictions hindering venture investment through this model? To this end, the study adopted a descriptive-analytical comparative approach to deconstruct statutory provisions and benchmark them against international models (specifically the French SAS). The findings indicate that the SJSC affords superior contractual flexibility regarding capital structuring, diversification of share classes, and the issuance of convertible debt instruments, thereby enhancing the attractiveness of the Saudi market. The study concluded with several recommendations, foremost among them is the necessity of promulgating precise interpretative regulations to govern the interplay between the Articles of Association and shareholders' agreements, and establishing procedural controls to safeguard minority shareholders' rights, ensuring the legal stability of this promising corporate model.
