Abstract

This study investigates the impact of the ESG agenda, understood through its environmental, social, and governance dimensions, on the Brazilian corporate environment, examining how these parameters have been incorporated into business strategies and governance models of private companies. Adopting an analytical and critical perspective, the research seeks to identify the practical and institutional challenges faced by Brazilian firms in the effective implementation of practices aimed at sustainability, inclusion, and corporate responsibility, taking into account the specificities of the country’s economic and regulatory context. In this regard, the paper analyzes recent regulatory and self-regulatory developments, with particular emphasis on B3’s New Issuer Regulation, highlighting the role of Annex B as an instrument designed to promote diversity within Boards of Directors. From this perspective, the study aims to assess the long-term effects of these guidelines, discussing their capacity to influence competitiveness standards, foster innovation, and strengthen social commitments within Brazilian corporations. Methodologically, the research adopts a hypothetical-deductive approach, based on bibliographic and documentary review, employing a historical-structuralist procedure and an exploratory research design.
