Abstract

The article provides a comparative legal analysis of non-disclosure agreements (NDAs) and non-compete clauses in employment and civil law relations in Ukraine, the European Union, and the United States. The topic is increasingly relevant due to the growing importance of intangible assets, the expansion of remote work, and the spread of contract-based engagement of specialists. These trends intensify the demand of employers and principals to protect trade secrets, know-how, and customer connections, while simultaneously increasing the risk of excessive restrictions on labour mobility and competition. The research is based on a functional comparative law method, allowing assessment of how different legal systems balance legitimate business interests with fundamental rights, including the right to work and economic freedoms. The study finds that Ukraine's approach remains fragmented: NDAs are supported by general civil law principles and the statutory regime for confidential information, whereas post-employment non-compete clauses in employment relationships lack explicit legislative grounding and are often scrutinized through constitutional guarantees of freedom of labour. In the EU, trade secret protection is harmonized by Directive (EU) 2016/943, while the enforceability of non-compete obligations depends primarily on Member State rules, typically requiring proportionality and, in many jurisdictions, mandatory financial compensation to the employee. In the United States, non-compete regulation is mainly governed by state law, producing wide variation ranging from near-total bans to conditional enforceability; at the same time, trade secrets are protected through a combination of state statutes and federal legislation. The article argues that Ukraine would benefit from introducing a clear statutory proportionality test for non-compete clauses, requiring compensation and strict limits in time, territory, and subject matter, as well as from standardizing minimum NDA requirements and strengthening organizational trade secret management policies.
