Abstract

Independent Directors play a critical role in safeguarding shareholder interests, ensuring regulatory compliance, and strengthening corporate governance. However, increasing organizational complexity, information asymmetry between boards and management, and the growing volume of regulatory and operational data have significantly constrained the ability of Independent Directors to discharge their fiduciary duties effectively. At the same time, advances in Artificial Intelligence (AI) have transformed decision-support systems across finance, risk management, cybersecurity, and compliance domains. This paper explores the potential of AI as an augmentative governance tool for Independent Directors, rather than as a decision-making substitute. It proposes an AI-augmented corporate governance framework that enables Independent Directors to enhance oversight, improve risk sensing, and strengthen diligence while preserving independence, accountability, and legal responsibility. The study systematically maps key fiduciary responsibilities-such as duty of care, oversight, and monitoring-to appropriate AI-enabled analytical capabilities, including anomaly detection, trend analysis, regulatory intelligence, and scenario simulation. The paper presents the case study of 2025 major airlines disruptions with solutions based on AI-Augmentation. The paper also examines governance risks associated with AI adoption at the board level, including over-reliance, explainability challenges, data access limitations, and liability considerations. By delineating clear boundaries between management use of AI and board-level oversight applications, the paper contributes a practical and policy-relevant perspective on responsible AI integration in corporate governance. The proposed framework offers guidance for boards, regulators, and policymakers seeking to modernize governance practices without diluting the foundational principles of independence and fiduciary accountability.
