Abstract

W hen parties to a joint venture disagree, the first divergences may be modest with little immediate impact. Unfortunately, minor lingering differences slowly but resolutely incite general dissatisfaction. This may eventually lead to the end of the collaboration and the possible termination of the original joint venture. The joint venture company may continue although without any of the former partners. Everyone sells out. Or, perhaps, only dissatisfied partners sell. On the other hand, the termination may be complete and all agree to extinguish the joint venture through a dissolution of the joint venture company and a liquidation of its assets.
