Documentation, Ownership, and Management
Abstract
S tepping into the conference room of counsel to a joint venture, the first sight greeting the client is likely to be a plenitude of documents. There are multiple, bound computer printouts with various names and numerous clauses. The participants, sellers and buyers, are invited to review jointly with their counsel the appropriate documents for the joint venture. There then begins the clause-by-clause analysis.
