Abstract

This chapter examines equity dilution in venture capital finance in light of the Delaware Supreme Court's 2021 decision in Brookfield Asset Mgmt., Inc. v. Rosson, which reclassified most dilution claims as derivative under the Tooley test. This shift makes it harder for shareholders to sue directly, even when dilution benefits fiduciaries in breach of loyalty duties. The chapter critiques Brookfield 's practical implications and argues that many dilution scenarios in VC finance still involve direct harm—particularly when non-participating shareholders are economically disadvantaged despite shares being sold at fair value. It concludes that direct actions against fiduciaries may remain viable in many VC contexts despite Brookfield.
