Abstract

This paper provides a critical analysis of the software licensing models of the three dominant enterprise vendors—Oracle, SAP, and Microsoft—based on the regulatory frameworks established in 2025. The research demonstrates how digital transformation drivers, specifically process automation (RPA/API) and cloud migration strategies, create a new category of "Invisible Liability" for enterprises. By examining technical documentation and audit protocols, the study reveals that traditional Software Asset Management (SAM) models are becoming obsolete. The findings suggest that organizations must transition from defensive compliance to strategic, data-driven "counter-audit" capabilities to mitigate risks associated with "technical potential," indirect access, and hybrid cloud lock-in.
