Mickey Mouse Boards & Nepo Power
Abstract
This article presents a deep structural and case-based analysis of the corporate governance crisis in Bangladesh. Using comparative insights from global benchmarks (Australia, UK, Canada, EU), it highlights critical gaps in board independence, audit effectiveness, director accountability, and ethical oversight. It exposes how recurring financial scandals — from Hallmark to S. Alam — stem not from isolated malfeasance, but from systemic decay and institutional capture. It offers a detailed reform blueprint addressing legislation, board composition, audit structures, and professional ethics. The conclusion calls for a full governance reset to protect public interest, enforce accountability, and restore trust.
