PRACTICAL ISSUES OF IMPOSING PROPERTY LIABILITY ON THE GOVERNING BODIES OF JOINT-STOCK COMPANIES
Abstract
This thesis analyzes issues related to the liability of governing bodies in ensuring the effectiveness of corporate governance in joint-stock companies under the national legislation of the Republic of Uzbekistan. Based on the provisions of the Civil Code of the Republic of Uzbekistan and the Law “On Joint-Stock Companies and Protection of Shareholders’ Rights,” the legal grounds for holding governing bodies liable are examined. In addition, the thesis provides a practical assessment of the introduction of the institution of fiduciary duties and fiduciary liability of governing bodies of joint-stock companies following legislative amendments adopted in 2025. Based on the results of the analysis, the necessity of adopting a resolution by the Plenum of the Supreme Court to establish uniform judicial practice in corporate disputes is emphasized.
