Abstract

This working paper discusses selected documentary warning signals that may arise in transactions involving reclaimed post-extraction land. The main assumption is that a standard real estate review based only on the land and mortgage register, cadastral data, planning documents and seller’s declarations may not be sufficient where the property has a history of extraction, reclamation, possible use of waste materials and changes in water conditions. The paper identifies eight categories of documentary risk: lack of formal evidence that reclamation has been completed, insufficient records of supervision by the competent authority, uncertainty as to materials used to fill or shape the excavation, missing environmental documentation, cadastral and tax inconsistencies, the tension between agricultural land history and water-oriented reclamation, vague or mixed reclamation directions, and conflicts with spatial planning instruments. The paper is a practical legal-risk note. It does not provide a complete due diligence model, a scoring system, a valuation framework or contractual clauses. Tekst omawia osiem kategorii ryzyk dokumentacyjnych: brak formalnego potwierdzenia zakończenia rekultywacji, brak materiału z nadzoru starosty, niejasności dotyczące materiałów użytych do wypełnienia lub ukształtowania wyrobiska, niedostatek dokumentacji środowiskowej, niespójności ewidencyjno-podatkowe, problem wodnego kierunku rekultywacji gruntów pierwotnie rolnych, nieprecyzyjne kierunki mieszane oraz kolizje z instrumentami planowania przestrzennego. Opracowanie ma charakter praktycznej noty problemowej. Nie tworzy pełnego modelu due diligence, systemu punktowej oceny ryzyka, modelu wyceny ani wzorów postanowień umownych.
