2. The Interest of the Company in Poland: Dismantling the Narratives for Sustainability
Abstract
This chapter critically examines the concept of “the interest of the company” in Polish company law, where it is firmly embedded in the legal framework but remains statutorily undefined. The prevailing interpretation, rooted in shareholder primacy, has primarily shaped discourse around conflicts between majority and minority shareholders, leaving sustainability considerations largely unexplored. Against the backdrop of recent EU-level regulatory developments, the chapter assesses whether existing narratives facilitate or hinder the integration of sustainability objectives into corporate governance. By analyzing the normative function of the company’s interest and its intersection with sustainability challenges, the chapter evaluates whether legislative intervention is necessary to realign the concept with a broader vision of corporate sustainability.
